Agreement to Terms

ScoreScrape ("ScoreScrape," "we," "us," or "our") provides certain services (the "Services") through its website (the "Site"). Your use of the Site and Services is governed by these Terms of Service (this "Agreement").

By using the Site or Services, you accept and agree to be bound by this Agreement's terms. If you do not agree with this Agreement's terms, do not use the Site or Services.

1. Use of Site and Services

You may use the Site and Services pursuant to the terms of this Agreement for lawful purposes only ("Permitted Use"). When using the Site and Services, it is solely your responsibility to, and you will:

  • Comply with all applicable state, local, federal, and international laws and regulations;
  • Comply with all terms and conditions set forth in this Agreement;
  • Use the Services in a manner that does not infringe upon the rights of any third party.

Without limiting the foregoing, you specifically agree not to use the Site or Services in a manner that:

  • Harasses, threatens, or otherwise violates the rights of any other party;
  • Is fraudulent, deceptive, or misleading;
  • Uses technology or other means to access ScoreScrape's network, systems, or other users' accounts without authorization;
  • Introduces viruses, malware, or other programs that interrupt, destroy, or limit the functionality of the Site or Services;
  • Attempts to reverse engineer, decompile, or disassemble any aspect of the Services;
  • Otherwise violates this Agreement or applicable law.

2. Intellectual Property Rights

All trademarks, service marks, graphics, and logos used in connection with the Site and Services are trade names, trademarks, or registered trademarks of ScoreScrape or their respective owners.

The Site and all content comprising the Site, including without limitation all designs, text, graphics, pictures, information, data, software, and other files (the "Content"), are the property of ScoreScrape or its licensors. The Content is protected by intellectual property laws, and it may not be copied, used, reproduced, or distributed, in whole or in part, without the prior written permission of ScoreScrape.

3. License Grant

ScoreScrape grants you a personal, non-exclusive, non-transferable, non-commercial, limited, and revocable license to use the Site and receive the Services for the Permitted Use and in accordance with this Agreement ("License"). All rights not expressly granted by ScoreScrape are reserved.

You are specifically prohibited from:

  • Reproducing, redistributing, selling, or creating derivative works from the Site, Services, or Content;
  • Decompiling, reverse engineering, or disassembling any aspect of the Site or Services;
  • Using the Site, Services, or Content in connection with any commercial purpose not authorized by this Agreement;
  • Building a competing service using the Site, Services, or Content;
  • Using automated tools (such as bots, scrapers, or crawlers) to access or collect data from the Services without our express written permission.

4. Account Registration and Security

To access certain features of the Services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information;
  • Maintain the security of your account credentials;
  • Accept all responsibility for activities that occur under your account or password;
  • Immediately notify us of any unauthorized use of your account.

5. Subscription Fees and Payment

Access to certain Services may require payment of subscription fees. By subscribing to our Services, you agree to the following:

Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. You agree to provide accurate payment information and authorize us to charge your payment method for the applicable fees.

Subscription Terms

Subscriptions automatically renew at the end of each billing period unless canceled prior to the renewal date.

Non-Refundable Fees

All subscription fees are non-refundable except as required by law. If you cancel your subscription prior to the end of any billing period, you will NOT receive a prorated refund for the unused portion of the subscription.

Price Changes

We reserve the right to change our pricing at any time. Any price changes will apply to subsequent billing periods after notice is provided to you.

6. Cancellation and Termination

Your Right to Cancel

You may cancel your subscription at any time through your account settings. Upon cancellation, your access to paid features will continue until the end of your current billing period.

Our Right to Terminate

ScoreScrape reserves the right, in its sole discretion, to terminate your License, suspend or delete your account, or block your access to the Site and Services (or any combination thereof) if:

  • We reasonably believe you have violated this Agreement;
  • You fail to pay any amount due to ScoreScrape;
  • We receive complaints related to your use of the Site or Services;
  • For any other lawful business reason, including discontinuation of the Service or features.

7. Disclaimers and Limitation of Liability

As-Is Basis

The Site and Services are provided to you strictly on an "AS-IS" basis. ScoreScrape makes no warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: Your sole and exclusive remedy with respect to any claim arising out of this Agreement or your use of the Site or Services shall be limited to the fees paid by you to ScoreScrape during the six (6) month period preceding the event giving rise to such claim.

IN NO EVENT SHALL SCORESCRAPE BE LIABLE FOR: Any special, indirect, incidental, or consequential damages (including loss of profits, data, or goodwill), even if advised of the possibility of such damages.

ScoreScrape shall not be liable for any delay or failure to provide the Services due to circumstances beyond our reasonable control, including but not limited to third-party service providers, internet service disruptions, or acts of nature.

8. Indemnification

You agree to indemnify, defend, and hold harmless ScoreScrape and its directors, officers, employees, and agents from and against all third-party claims, actions, or demands that:

  • Arise from your use of the Site or Services;
  • Assert a violation by you of any term of this Agreement or any applicable law;
  • Assert that any information or content you upload or provide violates any law or infringes upon any third-party right, including intellectual property or privacy rights.

ScoreScrape reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which event you will cooperate in asserting any available defenses.

9. User-Generated Content and Feedback

If you submit suggestions, enhancement requests, recommendations, or other feedback to improve the Site, Services, or Content ("Feedback"), ScoreScrape may, but has no obligation to, incorporate your Feedback. By providing Feedback, you:

  • Grant ScoreScrape a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute your Feedback;
  • Waive any ownership rights or claims to compensation for such Feedback.

10. Third-Party Services and Links

The Site and Services may contain links to third-party websites, services, or content.

Stripe Payment Processing

We use Stripe as our payment processor. When you make a payment, you will be subject to Stripe's terms of service and privacy policy. We recommend reviewing these documents at stripe.com.

Other Third-Party Links

ScoreScrape does not control, endorse, or adopt any other third-party content and is not responsible or liable for any third-party services. Your use of third-party services is at your own risk, and you should review their terms and policies.

11. Data Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Services, you consent to the practices described in our Privacy Policy.

12. Modifications to Agreement

ScoreScrape may modify this Agreement at any time and at its sole discretion by posting a revised Agreement on the Site. Your continued use of the Site or Services following any such modification constitutes your acceptance of the modification. We will make reasonable efforts to notify you of material changes via email or through the Services.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Kansas, USA, without regard to its conflict of law principles. Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the rules of Kansas, or through the courts located in Kansas, USA.

14. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

15. Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and ScoreScrape regarding the use of the Site and Services and supersedes all prior agreements and understandings.
